End User License Agreement (EULA)

Subject to your compliance with this End User License Agreement ("EULA"), RUO - Whitelabel grants you a limited, non-exclusive, non-transferable, revocable license to access and use the RUO - Whitelabel platform ("Platform") solely for the purpose of managing your merchant account, browsing the product catalog, placing orders, and managing your white-label business operations. This license does not include the right to: (a) Modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Platform; (b) Create derivative works based on the Platform or its content; (c) Use the Platform for any purpose other than its intended business operations; (d) Sublicense, rent, lease, or lend your access to any third party; (e) Use automated tools, bots, scrapers, or similar technology to access the Platform. This license is effective until terminated by either party in accordance with the terms herein.

You are responsible for maintaining the confidentiality of your account credentials, including your username, password, and any API keys associated with your merchant account. You agree to: (a) Provide accurate and complete information during registration and keep it updated; (b) Notify us immediately of any unauthorized access to or use of your account; (c) Accept responsibility for all activities that occur under your account; (d) Not share your account credentials with unauthorized individuals. RUO - Whitelabel reserves the right to suspend or terminate accounts that violate these responsibilities or that we reasonably believe have been compromised.

All intellectual property rights in the Platform — including but not limited to software, design, text, graphics, logos, icons, images, audio clips, data compilations, and the arrangement thereof — are owned by or licensed to RUO - Whitelabel and are protected by United States and international copyright, trademark, patent, and trade secret laws. The RUO - Whitelabel name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of RUO - Whitelabel. You may not use such marks without our prior written permission. Your use of the Platform does not grant you ownership of any intellectual property rights in the Platform or its content.

You agree not to use the Platform to: (a) Violate any applicable federal, state, local, or international law or regulation; (b) Distribute products for human consumption, veterinary use, or any purpose other than legitimate research; (c) Make health claims, medical claims, or therapeutic claims about any products available through the Platform; (d) Engage in fraudulent, deceptive, or misleading business practices; (e) Infringe upon or violate the intellectual property rights of RUO - Whitelabel or any third party; (f) Transmit any viruses, malware, or other malicious code; (g) Attempt to gain unauthorized access to any systems or networks connected to the Platform; (h) Interfere with or disrupt the integrity or performance of the Platform. Violation of these restrictions may result in immediate termination of your license and account.

This EULA is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any of its terms. RUO - Whitelabel may terminate or suspend your access to the Platform at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include, but are not limited to: (a) Breach of this EULA or the Terms of Service; (b) Non-compliance with applicable laws or regulations; (c) Fraudulent or illegal activity; (d) Extended period of inactivity; (e) Request by law enforcement or government agencies. Upon termination, you must cease all use of the Platform. Sections relating to intellectual property, warranty disclaimers, limitation of liability, and governing law shall survive termination.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. RUO - WHITELABEL SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. RUO - WHITELABEL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM RUO - WHITELABEL OR THROUGH THE PLATFORM SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS EULA.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RUO - WHITELABEL, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (a) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM; (b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (c) ANY CONTENT OBTAINED FROM THE PLATFORM; (d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL RUO - WHITELABEL'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THIS EULA EXCEED THE AMOUNTS PAID BY YOU TO RUO - WHITELABEL DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

This EULA shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any dispute arising out of or relating to this EULA shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wyoming, and the arbitrator's decision shall be final and binding. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
